Terms and Conditions

This Terms and Conditions Agreement (the "Agreement") is entered into between Local Vision (“Local Vision”) and the client ("Client”). By engaging with the services provided by Local Vision, the Client agrees to be bound by the terms and conditions outlined in this Agreement.

1. Services Provided:

1.1 Local Vision will provide Search Engine Optimization ("SEO") services to the Client, aiming to improve the visibility and performance of the Client's Google Business Profile and/or website in search engines. The specific services will be delivered as outlined in the packages provided by Local Vision.

2. Acceptance of Terms:

2.1 By signing this Agreement, the Client acknowledges that they have read, understood, and agree to be bound by the terms and conditions outlined herein. The Client’s use of Local Vision's services constitutes full acceptance of these terms. No work will commence until this Agreement is agreed to, the activation set up fee is paid and the first monthly installment is received.

3.0 Fees and Payment Terms:

3.1 Local Vision’s services will be billed monthly according to the selected package. The Client is required to pay the full monthly fee upfront, and no refunds will be issued once payment is made. The monthly period will commence on the date the Agreement is agreed to, the activation set up fee is paid and the first monthly installment is received.

3.2 Local Vision reserves the right to adjust pricing for its services. Any price increase will be communicated to the Client in writing at least one (1) month prior to the effective date of the increase. The Client may choose to accept the new pricing or terminate this Agreement as outlined in the Termination clause. All payments for services rendered prior to the price increase will remain unaffected.

4. Access to Accounts:

4.1 The Client agrees to provide Local Vision with the necessary access to their Google Business Profile and/or website, including administrative login credentials, for the purpose of providing services. Failure to provide timely access may delay the completion of services and will not affect the Client’s payment obligations.

4.2 Local Vision will take all reasonable measures to protect the security and confidentiality of the Client’s login information and will only use this access for the agreed-upon services. Upon termination of the Agreement, access to the Client's accounts will be revoked by Local Vision or the Client.

5. Content Approval and Discretion

5.1 As part of the services, Local Vision will create and publish Google Posts, including photos and tetx. These posts will align with the company’s branding and objectives based on prior discussions and materials provided by the Client. However, the final content and publication remain at the sole discretion of Local Vision and without Client review or approval.

6. Termination of Services:

6.1 Either party may terminate this Agreement by providing one (1) month's written notice to the other party. Written notice by the Client must be sent to dave@localvision.co.nz. The Client shall be responsible for payment of the services provided during the notice period, and no refunds will be issued for the month in which termination occurs.

7. Scope of Package Subscription Services:

7.1 The Client understands and agrees that each package subscription entitles them to services solely for the duration of that billing period. Upon completion of the length of the specific package subscription or termination, Local Vision has no further obligations to the Client, and no ongoing support or services will be provided beyond the termination date.

8. . Intellectual Property Rights

8.1 Upon full payment, the Client owns all content and deliverables created by Local Vision, excluding proprietary tools or pre-existing materials, which remain with Local Vision. The Client retains ownership of all materials provided to Local Vision, granting a non-exclusive license for use during this Agreement. Local Vision retains ownership of its proprietary methods, tools, and strategies.

9. Conflicts of Interest:

9.1 The Client acknowledges and agrees that Local Vision may provide advice and services to entities that may be direct competitors or have conflicting interests. The Client waives any claim of conflict of interest against Local Vision arising from the provision of advice or services to others in the same industry, business sector, or area.

10.0 Confidentiality:

10.1 Information shared between the parties, and materials will be treated as confidential and will not be disclosed to third parties without explicit consent.

11. Performance Disclaimer:

11.1 The Client acknowledges that insights, recommendations, or strategies given or implemented by or from Local Vision are provided without any guarantee of success or specific results. Local Vision is not liable for the effectiveness of this guidance or service, and the Client assumes all risks. The Client understands that SEO outcomes are influenced by external factors beyond Local Vision's control.

12. Indemnification:

12.1 Local Vision and its representatives are not liable for any damages arising from the use or inability to use the services. The Client agrees that Local Vision is not responsible for any loss or harm resulting from reliance on information obtained through its services. The Client agrees to indemnify and hold Local Vision harmless from any claims, damages, or liabilities arising from their use of their services.

13. Governing Law:

13.1 This Agreement shall be governed by and construed in accordance with the laws of New Zealand. Any legal action or proceeding arising out of or related to this Agreement shall be brought exclusively in the courts of New Zealand.

14. Modification of Terms:

14.1 Local Vision reserves the right to modify, amend, or update the terms of this Agreement at any time. The Client will be notified of any changes in writing. Continued use of Local Vision’s services after such changes constitutes acceptance of the revised terms.

15. Severability and Entire Agreement:

15.1 If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable to the fullest extent permitted by law. This Agreement constitutes the entire agreement between the Client and Local Vision, superseding any prior agreements or understandings.

By proceeding forward, the Client acknowledges that they have read, understood, and agree to be bound by the terms and conditions outlined in this Agreement with Local Vision. The Client further confirms that they have had the opportunity to seek clarification on any terms they did not understand prior to accepting this Agreement.
